AI-native fleet and logistics technology company Fleetx.ai has acquired transportation management system (TMS) provider Pando.ai for an undisclosed amount, bringing together capabilities across fleet visibility, freight execution and artificial intelligence.
Acquisition to Create Unified Logistics Platform
The acquisition will give customers access to a unified platform covering fleet visibility and freight execution, with AI capabilities integrated across the technology stack.
Pando.ai provides transportation management solutions to enterprises across industries. Its customer base includes companies such as Sun Pharma, Honda, Castrol, Godrej, Pernod Ricard, Berger Paints, Perfetti Van Melle and Orient Electric.
Following the acquisition, Pando.ai will continue operating as a distinct brand with its existing product and company identity. Fleetx.ai plans to build on Pando.ai’s platform by integrating its AI capabilities and expanding the combined product offering.
Pando.ai Leadership Joins Fleetx.ai
Fleetx.ai has been operating for the past nine years and serves businesses across logistics, construction, energy, retail and manufacturing. Its customers include UltraTech, Adani, AM/NS India, MP Birla Group, Maersk, Unilever and Mondelez.
As part of the transaction, Pando.ai’s entire leadership team has joined Fleetx.ai and will continue to lead the Pando.ai business. Fleetx.ai will also invest in strengthening Pando.ai’s products and expanding its AI capabilities.
The integration is expected to combine Pando.ai’s enterprise transportation management expertise with Fleetx.ai’s AI-led fleet and logistics technology.
Combined Entity Targets IPO in 18–24 Months
The acquisition also sets the stage for the combined business to pursue a public listing.
Following the transaction, Fleetx.ai and Pando.ai plan to prepare for an IPO over the next 18–24 months. The combined entity is targeting Rs 300–400 crore in revenue on a profitable basis by the time of the listing.
The planned public market journey comes as logistics technology companies increasingly focus on combining operational software, real time visibility and AI-driven automation to improve efficiency across transportation and supply chain operations.

The acquisition gives Fleetx.ai an opportunity to broaden its enterprise offering by combining fleet intelligence with transportation management capabilities.
